Cadenspot Terms of Service

Version terms-2026-10

Contents

Cadenspot is a service of VeyraOps LLC, an Illinois limited liability company. These Terms govern Business accounts, and section 18 covers people who book through a Business page. Effective date: [EFFECTIVE DATE]. Version: terms-2026-10.

1. Agreement

These Terms of Service ("Terms") are a binding agreement between you and VeyraOps LLC ("VeyraOps", "we", "us"). They govern your use of Cadenspot, including our websites, booking pages, dashboards, reminders, integrations and related features (the "Service").

You accept these Terms when you check the box or click the button that says you agree, when you create an account, or when you are asked to accept an updated version and do so. If you accept for a business, you confirm you have authority to bind it, and "you" means that business.

Our Privacy Policy explains how we handle personal information. It is part of these Terms.

Please read section 17. It requires most disputes between a Business and VeyraOps to be resolved by individual arbitration, and it waives class actions. You may opt out within 30 days.

2. Who we are

Cadenspot is a product of VeyraOps LLC, an Illinois limited liability company, [MAILING ADDRESS]. VeyraOps operates the Service, answers for it, and provides customer support. Support may be handled by a team VeyraOps assigns to Cadenspot. Contact: [SUPPORT EMAIL].

3. Eligibility and accounts

  • You must be at least 18 and able to form a binding contract. Business accounts are for business or professional use, including sole proprietors.
  • Give accurate information and keep it current, including your business name, contact details, prices and policies.
  • Keep your login secure. You are responsible for activity under your account, including by staff or tools you authorize. Tell us promptly at [SUPPORT EMAIL] if you suspect unauthorized access.
  • One person or business may not create accounts to evade a suspension or plan limits.
  • If you connect an API key, an AI agent or another integration, you are responsible for what it does with the access you grant.

4. The Service and plans

4.1 What we provide. The Service gives you a public booking page (your "Business page"), scheduling tools, reminders, and statistics about your page. Features differ by plan (Free, Pro and any later plan), as described on our pricing page when you subscribe. We may add, change or retire features. If we remove a material paid feature during a paid term, we will tell you in advance and you may cancel for a prorated refund of prepaid fees.

4.2 Cadenspot credit. On the Free plan, your Business page and booking emails show "Scheduling by Cadenspot" or a similar credit.

4.3 VeyraOps notice. On every plan, your Business page shows a short notice near the bottom that promotes VeyraOps services to visitors (the "VeyraOps Notice"). By accepting these Terms you agree that:

  • the VeyraOps Notice is part of the Service and you cannot remove or hide it, on any plan;
  • it is one line, placed below your services and offers, not sticky and not a pop-up, and it does not interrupt booking;
  • each visitor can close it for themselves;
  • it does not appear in the booking confirmation, in emails, or when your page is embedded on your own website, unless we tell you otherwise with notice under section 16;
  • it promotes only VeyraOps products, never a competitor of yours or a third party's ads;
  • we measure views, clicks and closes of the notice as described in the Privacy Policy.

The notice does not mean you endorse VeyraOps, and it gives you no right to compensation.

4.4 Beta features. Features marked beta, preview or "coming soon" may be incomplete, may change, and are provided as-is.

4.5 Availability. We aim to keep the Service available but do not promise uninterrupted operation. We may do maintenance, and outages may happen. Keep your own records of important appointments.

5. Your content and your Business page

5.1 You own your content. "Your Content" means what you or your staff add to the Service: business name, logo, banner photos, bio, links, services, prices, offers, policies, and messages.

5.2 License to us. You grant VeyraOps a worldwide, non-exclusive, royalty-free license to host, copy, resize, crop, display, translate and transmit Your Content to run, show and improve the Service. That includes showing it on your Business page, in emails to your clients, and in previews when your link is shared. The license ends when you delete the content or your account, except for copies in backups for a limited time, and content a client already received.

5.3 Showcase. We will not use your name, logo or page in our marketing, such as a customer list, case study or demo, without your written permission. That permission can be withdrawn for future use at any time.

5.4 Your promises. You confirm that you have the rights to Your Content, including logos and photos, and that it is accurate and lawful. Your prices, offers, deposits and cancellation rules must be truthful. Don't post fake reviews, ratings or countdowns.

5.5 Import from your website. If you give us your website address, we read only that site to suggest details for your page. Nothing we find is published until you review and save it. You remain responsible for what you save.

5.6 Photos. We strip location and other metadata from photos you upload and may resize or compress them.

6. AI features

6.1 How they work. Some features use artificial intelligence to suggest text, offers, colors or recommendations. AI suggestions can be wrong or incomplete. They are proposals: nothing is published or sent to your clients until you approve it, unless you turn on a feature that acts automatically and we clearly tell you so first.

6.2 Your responsibility. You decide what to publish or send. Review AI output before you rely on it, especially prices, legal or health statements, and promises to clients.

6.3 Model training. We do not use Your Content or your clients' personal information to train AI models made available to others. We use AI providers, currently OpenAI, under terms that do not allow them to train their models on that data.

6.4 Automated assistants. If you use a VeyraOps receptionist or similar assistant to talk with clients, it identifies itself as automated where the law requires, and you are responsible for the instructions and information you give it.

7. Bookings with your clients

7.1 You are the merchant. Appointments, services, deposits and payments are between you and your clients. VeyraOps is not a party to them, does not provide your services, and is not responsible for their quality, safety or delivery. You handle your clients' complaints, refunds and disputes under your own policies and the law.

7.2 Payments and deposits. Card payments and deposits are processed by Stripe or another payment provider we name, under that provider's terms, which you must accept to use payments. We do not store full card numbers. You are responsible for refunds, chargebacks, taxes and fees. Show your deposit and cancellation rules before a client books.

7.3 Offers. You set every offer's discount, services, start and end. We show the end date you set and turn the offer off at that time. The price a client sees when booking is the price recorded. You must honor offers you publish.

7.4 Messages to clients. The Service sends booking confirmations, reminders and similar transactional messages to your clients by email and, where enabled, SMS or WhatsApp. You agree that:

  • these messages relate to bookings your clients made or requested;
  • you will not use the Service to send marketing messages without the consent the law requires, including under the Telephone Consumer Protection Act (TCPA) and CAN-SPAM;
  • clients can opt out of SMS by replying STOP, and we honor opt-outs;
  • message and data rates may apply to clients, and delivery is not guaranteed.

7.5 Client information. For your clients' personal information, we act as your service provider: we process it to provide the Service to you, under your instructions and our Privacy Policy, and not for selling it or for targeted advertising. You must have a lawful basis to collect it and must give your clients any notice the law requires. Our Data Processing Terms apply on request. [DPA to be drafted.]

7.6 Minors. If you serve clients under 18, a parent or guardian should make the booking. Don't knowingly let a child under 13 give us personal information.

8. Acceptable use

You may not, and may not let others:

  • offer illegal services or goods, or services that require a license you don't hold;
  • impersonate another person or business, or use a name or logo you have no right to;
  • post false, deceptive or misleading content, including fake reviews, ratings, discounts or deadlines;
  • send spam or unsolicited messages, or harvest data about visitors or other users;
  • collect government ID numbers, full card numbers, passwords or health records through booking questions;
  • upload malware, probe or attack the Service, bypass rate limits or plan limits, or scrape it except through our published API within its limits;
  • use the Service to discriminate unlawfully against clients;
  • resell the Service without our written agreement.

We may remove content or limit features that break these rules, and will tell you why unless the law or safety prevents it.

9. Data, privacy and page analytics

9.1 Our Privacy Policy describes what we collect and why. In short, for your Business account we decide how your account data is used. For your clients, we act as your service provider (section 7.5).

9.2 Page analytics. We measure use of your Business page and the Service: page views, traffic sources, clicks on each link and on the VeyraOps Notice, the steps of the booking process, offer views, and clicks in booking emails. We do this with our own first-party tools, without third-party trackers, advertising pixels or tracking cookies. Visitors are counted with an anonymous identifier that changes daily and is not shared across businesses. We honor Global Privacy Control and Do Not Track signals by keeping only aggregate counts for those visitors.

9.3 What you see. You can see statistics about your own page and clients.

9.4 What we do with it. We use analytics about your account to provide and support the Service, to show you statistics and recommendations, and to secure it. We use aggregated and de-identified data from all businesses to improve the Service, decide on features and pricing, and measure the VeyraOps Notice. We will not try to re-identify de-identified data, and we never sell your clients' personal information or use it for targeted advertising.

9.5 Recommendations. Recommendations are suggestions. We never apply them to your page without your approval.

9.6 Your data on exit. You can ask us to export your bookings and client list by writing to [SUPPORT EMAIL], while your account is active and for 30 days after it closes (section 15).

10. Fees and billing

  • The Free plan has no fee. Paid plans are billed in advance, monthly or yearly, in US dollars, through our payment provider, and renew automatically until you cancel.
  • You can cancel at any time in your settings, where available, or by writing to [SUPPORT EMAIL]. Cancellation takes effect at the end of the current billing period, and you keep paid features until then. Fees already paid are not refundable except where these Terms or the law say otherwise.
  • We will tell you at least 30 days before a price increase takes effect for your plan. You can cancel before it applies.
  • Prices exclude taxes. You are responsible for applicable taxes, except taxes on our income.
  • If a payment fails, we may retry, notify you, and move your account to the Free plan after a reasonable grace period. Your data is kept.

11.1 Ours. VeyraOps owns the Service, its software, design, and the Cadenspot and VeyraOps names and logos. These Terms give you a limited, revocable, non-transferable right to use the Service; they do not give you rights in our brands.

11.2 Feedback. If you send suggestions, we may use them without obligation to you.

11.3 Copyright complaints. If you believe content on the Service infringes your copyright, send a notice to our designated agent under the Digital Millennium Copyright Act: [DMCA AGENT NAME, ADDRESS, EMAIL]. Include the work, where it appears, your contact details, a good-faith statement, a statement under penalty of perjury that your notice is accurate and that you are authorized, and your signature. We may remove content and, in appropriate cases, close the accounts of repeat infringers. A user whose content was removed may send a counter-notice.

12. Third-party services

The Service connects to services we don't control, such as calendars, payment providers, messaging apps, maps and social networks. Your use of them is governed by their terms. We are not responsible for them, and we may stop supporting an integration if the provider changes or ends it.

13. Disclaimers and limitation of liability

13.1 Disclaimer. EXCEPT AS EXPRESSLY STATED IN THESE TERMS, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT THE LAW ALLOWS, VEYRAOPS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT REMINDERS WILL BE DELIVERED, OR THAT AI OUTPUT WILL BE ACCURATE.

13.2 Excluded damages. TO THE FULLEST EXTENT THE LAW ALLOWS, NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, BOOKINGS OR DATA, EVEN IF ADVISED OF THEIR POSSIBILITY.

13.3 Cap. TO THE FULLEST EXTENT THE LAW ALLOWS, VEYRAOPS'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS IS LIMITED TO THE GREATER OF (A) THE FEES YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) US $100.

13.4 Exceptions. Sections 13.2 and 13.3 do not limit liability for fraud, gross negligence or willful misconduct, your payment obligations, your indemnity under section 14, or liability that cannot be limited by law.

14. Indemnity

You will defend and indemnify VeyraOps and its members, employees and contractors against third-party claims, and related losses and reasonable legal fees, arising from Your Content, your services to clients, your offers and pricing, messages you send through the Service, or your breach of these Terms or the law. We will notify you of the claim promptly, let you control the defense, and cooperate at your expense. You may not settle a claim that imposes obligations on us without our consent.

15. Term, suspension and termination

  • These Terms apply from your acceptance until your account closes.
  • You can close your account at any time by writing to [SUPPORT EMAIL].
  • We may suspend or close an account, or remove content, if you materially breach these Terms, if required by law, or to prevent harm to clients, other users or the Service. Unless urgent or unlawful, we will give you notice and a chance to fix the problem first.
  • We may end the Free plan or the Service for everyone with at least 60 days' notice, and will refund prepaid fees for the unused period.
  • When your account closes, your Business page goes offline. You can ask us to export your data within 30 days. We then delete or de-identify your account data as described in the Privacy Policy, except what we must keep by law.
  • Sections 5.2 (for backup copies), 7.1, 9.4, 11, 13, 14, 17 and 19 survive termination.

16. Changes to these Terms

We may update these Terms. Each version has a date and a version number, and we keep previous versions available on request.

  • Material changes (for example, new fees, new uses of data, changes to the VeyraOps Notice, or changes to section 17): we will notify you by email and in the Service at least 30 days before they take effect, with a short summary of what changes. You will be asked to accept the new version before you continue using your account after that date. If you don't accept, you can close your account and export your data, and we will refund prepaid fees for the unused period.
  • Other changes (clarifications, corrections, legal requirements, new features): they take effect when posted, and we will show a notice in the Service.

Changes never apply to disputes already pending or to claims arising before the change.

17. Disputes, governing law and arbitration

17.1 Talk to us first. Before starting a claim, send a written description of the dispute to [LEGAL EMAIL] and [MAILING ADDRESS]. We will try to resolve it informally for 30 days.

17.2 Governing law. These Terms are governed by the laws of the State of Illinois and applicable US federal law, without regard to conflict-of-law rules.

17.3 Arbitration for Business accounts. If the dispute is not resolved, any dispute between a Business account holder and VeyraOps arising out of or relating to the Service or these Terms will be resolved by binding individual arbitration under the Federal Arbitration Act, administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration will take place in DuPage County, Illinois, or by video, before one arbitrator. The arbitrator may award the same individual relief a court could.

17.4 Exceptions. Either party may bring an individual claim in small claims court if it qualifies, and either party may seek a court injunction to protect its intellectual property or stop unauthorized use of the Service.

17.5 Class action waiver. Claims may be brought only individually, not as a plaintiff or class member in any class, collective or representative proceeding. If this waiver is found unenforceable for a claim, that claim will proceed in court, not in arbitration, and section 17.3 does not apply to it.

17.6 Opt-out. You may opt out of arbitration by emailing [LEGAL EMAIL] within 30 days after you first accept these Terms, with your name, business name and account email. Opting out does not affect the rest of these Terms.

17.7 Courts. For any claim not subject to arbitration, the state and federal courts located in DuPage County or Cook County, Illinois have exclusive jurisdiction, and both parties consent to venue there.

17.8 Time limit. To the extent the law allows, a claim must be brought within one year after it arises.

18. Clients booking through a Business page

This section applies if you use a Business page to book or manage an appointment (a "Client").

  • Your appointment is with the Business, not with VeyraOps. The Business sets its services, prices, deposits, cancellation rules and offers, and is responsible for them. Contact the Business about the appointment, refunds or complaints.
  • Payments are processed by our payment provider for the Business.
  • Give accurate contact details. You may receive confirmations and reminders about your booking, and you can opt out of SMS by replying STOP.
  • Don't misuse the page: no fake bookings, spam, scraping, or attempts to disrupt it.
  • You may close the VeyraOps Notice at the bottom of the page.
  • Our Privacy Policy explains how we handle your information. Sections 11, 13 and 19 apply to you. Sections 17.3 to 17.6 (arbitration) do not apply to Clients. Any dispute between a Client and VeyraOps is governed by Illinois law and may be brought in the courts named in section 17.7, or where the law of your state lets you bring it.

19. General

  • Entire agreement. These Terms, the Privacy Policy and any order form or Data Processing Terms you sign are the whole agreement about the Service.
  • Assignment. You may not transfer these Terms without our consent. We may transfer them to an affiliate or in a merger, acquisition or sale of assets, with notice to you.
  • Severability and waiver. If a provision is unenforceable, the rest stays in effect. Not enforcing a right is not a waiver.
  • Force majeure. Neither party is liable for delays caused by events beyond reasonable control, such as outages of internet, hosting or messaging providers, natural disasters, or government action.
  • Notices. We send notices to your account email and in the Service. You send notices to [LEGAL EMAIL] and [MAILING ADDRESS].
  • Export and sanctions. You may not use the Service where US law prohibits it.
  • Language. We may provide translations. If they conflict, the English version controls.
  • Electronic acceptance. Your electronic acceptance and our electronic records of it are valid and binding, like a signature.
